END-USER LICENSE AGREEMENT: This End-User License Agreement ("EULA") is a legal agreement between you, the user, (either an individual or a single entity) and Mango Drop Games, LLC for the SOFTWARE (Zenith Chronicles) which may include associated software components, media, and "online" or electronic documentation ("SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE, you accept the terms of this EULA. This license agreement represents the entire agreement concerning the program between you and Mango Drop Games, LLC, (referred to as "Mango Drop Games" or "Licensor"), and it supercedes any prior agreement, proposal, representation, or understanding between the parties. If you do not agree to the terms and conditions of this EULA, you may not install or use the SOFTWARE. The SOFTWARE is Copyright (c) 2010, Mango Drop Games, LLC and is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE is licensed, not sold. 1. GRANT OF LICENSE. Mango Drop Games allows you to use the SOFTWARE only in accordance with the terms of this EULA. 2. The SOFTWARE is licensed as follows: Mango Drop Games grants you the right to install and use copies of the SOFTWARE on your computer for personal entertainment purposes. 3. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS You agree not to: a. Commercially exploit the SOFTWARE; b. Reverse engineer, decompile, disassemble, prepare derivative works based on or otherwise modify the SOFTWARE, in whole or in part, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation; c. Distribute, license, sell, lease, rent or otherwise transfer or assign the SOFTWARE, or any copies of the SOFTWARE, without the express prior written consent of Mango Drop Games or as set forth in this EULA; and d. Remove or modify any notices, marks or labels contained within the SOFTWARE You may make copies of the SOFTWARE as may be necessary for backup purposes. 4. NO WARRANTIES THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS OF A PARTICULAR PURPOSE. MANGO DROP GAMES DOES NOT WARRANT OR ASSUME RESPONSIBILITY FOR THE ACCURACY OR COMPLETENESS OF ANY INFORMATION, TEXT, GRAPHICS, LINKS OR OTHER ITEMS CONTAINED WITHIN THE SOFTWARE. 5. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANGO DROP GAMES SHALL NOT BE HELD LIABLE FOR DAMAGES ARISING FROM OR IN CONNECTION WITH THE SOFTWARE OR ITS USE, EVEN IF MANGO DROP GAMES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MANGO DROP GAMES' LIABILITY FOR ALL DAMAGES (EXCEPT AS REQUIRED BY APPLICABLE LAW) EXCEED THE ACTUAL PRICE PAID BY YOU FOR USE OF THE SOFTWARE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. 6. TERMINATION This EULA will automatically terminate if you fail to comply with its terms and conditions. In such event, you must destroy all copies of the SOFTWARE in your possession. You may also terminate this EULA at any time by destroying all copies of the SOFTWARE in your possession. 7. COPYRIGHT Mango Drop Games and/or its third-party licensors retain all right, title, and interest in the Game (and any copies thereof), registered and unregistered trademarks, servicemarks, and trade names, and specifically reserve all rights not expressly granted under this EULA. All third party trademarks, trade names or service marks are the properties of their respective owners. This EULA grants you no rights to use such content. 8. SUPPORT SERVICES Mango Drop Games may provide you with support services related to the SOFTWARE ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE and subject to the terms and conditions of this EULA. 9. INDEMNITY You agree to defend, indemnify, and hold harmless Mango Drop Games, LLC (and its officers, directors, employees and agents) from any claims, losses, damages, liabilities, costs, and attorneys' fees, resulting from or in connection with your use/misuse of the SOFTWARE, or your breach of this EULA. 10. DISPUTE RESOLUTION Except by the sole discretion of Mango Drop Games, the venue for any action in connection with the Game or this EULA shall lie exclusively in the state and federal courts located in the State of Oregon, USA, and you hereby consent and submit to the personal jurisdiction of such courts. 11. SEVERABILITY Invalidity or unenforceability of one or more provisions of this EULA shall not affect any other provision of this EULA. 12. SURVIVAL Sections 5, 9, 10, and 11 of this EULA shall survive the termination of this EULA and shall remain in full force and effect.
